This Services Agreement (the “Agreement”) is entered into by and between Better Sleep Consulting LLC (the “Consultant”) and the “Client”. The parties agree to the provisions of this Agreement regarding the infant and child sleep consulting services (the “Services”) to be provided by the Consultant as described in further detail below.
- Payment Terms: The compensation for the Services will be set forth in an attached proposal (the “Proposal”). All payments must be made prior to the commencement of the Services as outlined in the Proposal. No refunds will be granted once payment has been processed, unless approved by the Consultant in its sole discretion.
- Client Commitment: The Client agrees to cooperate with the Consultant and follow any recommendations provided in good faith to achieve their sleep goals. The Services are not guaranteed and the Consultant is not responsible for any adverse effects.
- Disclaimer: The Services are not medical advice and are not intended to replace medical advice. The Consultant’s advice is for informational purposes only and is intended for children with common sleep issues not related to medical conditions. The Client should always seek the advice of a physician or medical professional for any questions related to their child’s health.
- Independent Contractor: This Agreement does not establish an employer-employee relationship and the Consultant and its employees are independent contractors. The Consultant is not a medical professional and their advice is not medical advice.
- Intellectual Property: The information and materials provided by the Consultant, including schedules and sleep plans, cannot be reproduced or transmitted without their express written consent.
- Confidentiality: The Consultant may obtain confidential information about the Client during the performance of the Services. The Consultant will maintain the highest standards of confidentiality and respect for the Client’s personal matters and will not disclose any Confidential Information without the Client’s prior written permission. The Consultant will also obtain the Client’s prior consent before posting any photos or videos of the Client or their family on social media or marketing materials.
- Limitation of Liability & Release: The Consultant shall not be liable for any claims, losses, injury, indirect, incidental, special or consequential damages as a result of the Services, whether such claim alleges breach of contract, tortious conduct, negligence or any other theory. The Client agrees to waive and release the Consultant and its employees from any and all claims of liability, loss, damage, injury, or other demands for compensation in connection with the Services.
- Entire Agreement: This Agreement, together with the Proposal, constitutes the entire agreement between the parties and may only be amended in writing by both parties.
- Governing Law: This Agreement is governed by and shall be construed, enforced, and interpreted in accordance with the laws of Florida.
